Terms of Service

Last updated

These Terms of Service (the "Terms") are a binding agreement between Cal.com, Inc., a Delaware corporation with its principal office at 2261 Market Street #4382, San Francisco, CA 94114, United States ("Cal.com", "we", "us"), and the person or entity that creates an account or otherwise uses COSS ("Customer", "you").

By creating an account, generating an API key, or otherwise using the Services, you agree to these Terms, including our Acceptable Use Policy and our Data Processing Addendum, which are incorporated into them by reference. Our Privacy Policy explains how we handle personal data. If you accept these Terms on behalf of a company or other organization, you confirm that you have authority to bind it, and "you" refers to that organization. If you do not agree, do not use the Services.

If you have signed an order form or other written agreement with Cal.com for COSS, that agreement prevails over these Terms where they conflict.

1. Definitions

  • "Services" means COSS: the hosted application programming interface (the "API"), the dashboard at coss.com, the documentation, and any related features, tools and support we provide.
  • "SDK" means the coss client libraries and other code we publish for use with the API.
  • "Organization" means a workspace in the Services, together with its projects and environments, that you create or are invited to.
  • "Authorized Users" means your employees and contractors who you allow to access the Services under your Organization.
  • "Customer Data" means the data you or your Authorized Users submit to the Services, including message content, attachments, recipient addresses, metadata, suppression lists and webhook configuration.
  • "End Recipients" means the people to whom you send messages through the Services.

2. Eligibility and business use

The Services are intended for businesses and developers. You must be at least 18 years old and able to form a binding contract to use them. You may not use the Services if you are barred from doing so under applicable law, including U.S. sanctions and export control laws (see section 15).

3. Accounts, Organizations and API keys

Your account. You must provide accurate information when you register and keep it up to date. You are responsible for keeping your credentials confidential, and for everything that happens under your account. We recommend enabling two-factor authentication or passkeys, and Organizations may require it of their members.

Organizations. Organization owners and administrators control who may access their Organization, what each member may do, and its settings, including single sign-on and two-factor requirements. You are responsible for the acts and omissions of your Authorized Users as if they were your own.

API keys. API keys authenticate requests on behalf of your Organization and an environment within it. Treat them as secrets: do not embed them in client-side code or share them publicly. You are responsible for all usage made with your API keys until you revoke them. Tell us promptly at legal@cal.com if you believe your account or a key has been compromised.

Sandbox and live environments. Sandbox environments (coss_test_ keys) simulate delivery and never send real messages. Live environments (coss_live_ keys) send real messages and require a verified email address and a sending domain you have verified with us.

4. Your responsibilities

You will, and will ensure that your Authorized Users will:

  1. use the Services only in compliance with these Terms, the Acceptable Use Policy and all applicable laws, including anti-spam, marketing, privacy and data protection laws (such as the U.S. CAN-SPAM Act, Canada's Anti-Spam Legislation, the EU and UK GDPR and the ePrivacy Directive and its national implementations);
  2. have a lawful basis, and where required consent, for every message you send and for any data about End Recipients that you submit to the Services;
  3. send only from domains and addresses you own or are authorized to use, and identify yourself accurately as the sender;
  4. honor unsubscribe and opt-out requests, and include the notices and unsubscribe mechanisms that applicable law requires;
  5. provide End Recipients with any notices required by law, including about open and click tracking if you enable it; and
  6. not submit special categories of personal data, protected health information or payment card data to the Services unless we have agreed to it in writing.

You are solely responsible for Customer Data, for the content of your messages and for your relationship with End Recipients.

5. How we protect the platform

Email deliverability is shared among everyone who uses the Services. To protect it, you agree that we may:

  • Maintain suppression lists. We do not deliver to addresses on your environment's suppression list. Addresses are added automatically after permanent bounces and spam complaints, and you can manage the list yourself.
  • Screen content. We automatically review a sample of messages sent from live environments, using automated systems that include AI models, to detect spam, phishing, malware and fraud. A message that our systems determine to be abusive may not be delivered, and may lead to the suspension of your Organization.
  • Monitor sending reputation. We measure bounce and complaint rates and other signals. We may warn you, and may suspend live sending for your Organization when they exceed our thresholds.
  • Apply rate limits and quotas. We limit request and sending rates per API key, per Organization and per client, and may change these limits to protect the Services.

These measures help us operate the Services. They do not shift your responsibility for your messages to us, and we have no obligation to monitor Customer Data. You can request a human review of any automated decision affecting your Organization by writing to legal@cal.com.

6. Suspension

We may suspend your access to all or part of the Services, including live sending, immediately and without prior notice, if we reasonably believe that:

  • you or your Authorized Users have breached these Terms or the Acceptable Use Policy;
  • your use poses a security risk, may harm the Services, other customers, End Recipients or third parties, or may damage the sending reputation of the Services;
  • your account has been compromised;
  • suspension is required by law or by a request from a court or government authority; or
  • you have not paid fees that are due.

Where practicable we will tell you why your Organization was suspended, through the dashboard, the API, webhooks or by email. While an Organization is suspended, you can still sign in and read your data, but you cannot send from live environments or make other changes. A suspension is lifted only after our review; it is not lifted automatically.

7. Customer Data and privacy

Ownership. As between you and us, you own Customer Data. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process and display Customer Data only as needed to provide, secure and support the Services, to prevent abuse, and as required by law.

Data protection. When we process personal data in Customer Data on your behalf, we act as your processor (or service provider) and you act as controller. Our Data Processing Addendum (the "DPA") is incorporated into these Terms by reference and governs that processing; if these Terms and the DPA conflict on the processing of personal data, the DPA prevails. Our Privacy Policy describes how we handle personal data for which we are the controller, such as account information.

Usage data. We may collect and use data about how the Services are used, such as request volumes, delivery statistics and error rates, to operate, secure and improve the Services. We will only disclose such data outside Cal.com in aggregated or de-identified form that does not identify you or any individual.

Deletion. You can remove some Customer Data through the Services (such as suppression entries, domains and webhook endpoints) and can ask us to delete the rest at privacy@cal.com. When your account or Organization is closed, we will delete Customer Data in line with our Privacy Policy and the DPA, except where we must keep it by law.

8. Third-party services

The Services rely on third-party infrastructure, including Amazon Web Services for hosting and email delivery. Message delivery also depends on recipient mail servers, which we do not control. The Services can send webhook requests to endpoints you configure; you are responsible for those endpoints and for what you do with the data they receive. We are not responsible for third-party services that you choose to connect to the Services.

9. Fees

Use of the Services may be subject to fees described on our website or in an order form. If you subscribe to a paid plan:

  • you authorize us, or our payment processor, to charge the payment method you provide for fees when due;
  • fees are exclusive of taxes, and you are responsible for all taxes except those based on our net income;
  • fees are non-refundable except where these Terms or applicable law say otherwise; and
  • we may change fees with at least 30 days' notice, effective at the start of your next billing period.

If fees are past due, we may suspend paid features after giving you notice and at least 10 days to pay.

10. Intellectual property

Our property. The Services, the SDK and all related software, documentation, trademarks and content are owned by Cal.com or its licensors. Except for the rights expressly granted in these Terms, we reserve all rights.

Your license. Subject to these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable right to access and use the Services during your subscription for your internal business purposes. The SDK is licensed to you under the open source license distributed with it (currently the MIT License); that license governs your use of the SDK's code.

Restrictions. You will not, and will not allow anyone to: (a) copy, modify or create derivative works of the Services, except the SDK as its license permits; (b) reverse engineer or attempt to extract the source code of the Services, except to the extent the law allows despite this restriction; (c) resell, sublicense or provide the Services to third parties as a service bureau, unless we agree in writing; (d) access the Services to build a competing product; or (e) circumvent any usage limits, security measures or access controls.

Feedback. If you give us feedback or suggestions, we may use them without restriction or obligation to you.

11. Confidentiality

Each party may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential ("Confidential Information"). Customer Data is your Confidential Information. The receiving party will use the other party's Confidential Information only to perform under these Terms, protect it with at least reasonable care, and disclose it only to its employees, contractors and advisers who need to know it and are bound by confidentiality obligations at least as protective. These obligations do not apply to information that is or becomes public through no fault of the receiving party, was already known to it, is independently developed, or is rightfully received from a third party. A party may disclose Confidential Information where legally required, after giving the other party reasonable notice where the law allows.

12. Beta features, warranties and disclaimers

Beta and preview features. We may offer features labeled as beta, preview or similar. They are provided for evaluation, may change or be discontinued at any time, and are excluded from any service commitments.

Mutual warranties. Each party represents that it has the authority to enter into these Terms.

Disclaimer. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICES AND THE SDK ARE PROVIDED "AS IS" AND "AS AVAILABLE", AND CAL.COM DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY MESSAGE WILL BE DELIVERED, PLACED IN AN INBOX OR OPENED. Unless a written agreement with us includes a service level agreement, the Services carry no uptime or support commitment.

13. Indemnification

By you. You will defend Cal.com and its affiliates, officers, directors and employees against any claim, demand, suit or proceeding brought by a third party (including an End Recipient or a regulator) arising out of Customer Data, the messages you send, your breach of these Terms or the Acceptable Use Policy, or your violation of applicable law, and you will pay any damages, fines, penalties and reasonable costs (including attorneys' fees) finally awarded or agreed in settlement.

By us. We will defend you against any claim brought by a third party alleging that the Services, as provided by us, infringe that third party's U.S. patent, copyright or trademark or misappropriate its trade secret, and will pay the damages and costs finally awarded or agreed in settlement. This obligation does not apply to claims arising from Customer Data, the SDK, third-party services, your modification of the Services, or your combination of the Services with anything we did not provide. If the Services are, or we believe they may be, subject to such a claim, we may modify them to be non-infringing, obtain a license for your continued use, or terminate your subscription and refund any prepaid fees for the remaining term.

Process. The indemnified party must promptly notify the indemnifying party of the claim, give it sole control of the defense and settlement (except that it may not settle a claim in a way that imposes liability on the indemnified party without its consent), and provide reasonable cooperation. This section states each party's sole remedy for the claims it covers.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  1. NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL OR DATA, EVEN IF IT HAS BEEN ADVISED OF THEIR POSSIBILITY; AND
  2. EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID OR OWED TO US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, AND ONE HUNDRED U.S. DOLLARS (US$100).

These limitations do not apply to your payment obligations, your obligations under section 13, your breach of section 10 or of the Acceptable Use Policy, or either party's liability for gross negligence, fraud or willful misconduct, or any liability that cannot be limited by law.

15. Export control and sanctions

You will comply with all applicable export control and economic sanctions laws. You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions, and that you are not on, or owned or controlled by anyone on, a U.S. government list of restricted parties. You will not use the Services to send messages to, or on behalf of, any such person or place.

16. Term and termination

These Terms apply from when you first accept them until your account is closed. You may stop using the Services at any time, and close your account by writing to support@cal.com. We may terminate these Terms or your account for convenience with 30 days' notice, or immediately if you materially breach these Terms (including the Acceptable Use Policy), or if we are required to by law.

On termination, your right to use the Services ends, and you must stop using your API keys. Sections 4, 7 (as to deletion), 9 (as to amounts owed), 10 (except your license), 11, 12, 13, 14, 16 and 17 survive termination.

17. General

Changes to these Terms. We may update these Terms from time to time. We will post the updated Terms on this page and change the "Last updated" date. If a change is material, we will notify you by email or in the dashboard at least 30 days before it takes effect, unless the change is required by law or addresses a security risk, in which case it may take effect sooner. Continuing to use the Services after a change takes effect means you accept it. If you do not accept a change, you must stop using the Services before it takes effect.

Changes to the Services. We may add, change or remove features. We will give reasonable notice before removing a material feature you rely on. Breaking changes to the API are released as new dated API versions; your Organization stays on its version until you upgrade it, except where a change is needed for security or legal reasons.

Governing law and venue. These Terms, and any dispute arising out of or relating to them or the Services, are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The state and federal courts located in San Francisco County, California, have exclusive jurisdiction over any such dispute, and each party consents to their personal jurisdiction and venue. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or to a successor in a merger, acquisition or sale of all or substantially all of the relevant assets. Any other attempted assignment is void.

Force majeure. Neither party is liable for any delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, such as natural disasters, war, terrorism, labor disputes, government action, or failures of the internet, utilities or third-party infrastructure.

Notices. We may send notices to the email address on your account or through the dashboard. You must send legal notices to legal@cal.com, with a copy to Cal.com, Inc., Attn: Legal, 2261 Market Street #4382, San Francisco, CA 94114, United States.

Publicity. We will not use your name or logo to identify you as a customer without your permission.

Miscellaneous. These Terms, together with the Acceptable Use Policy, the DPA and any order form, are the entire agreement between the parties about the Services and supersede any prior agreements on that subject. If any provision is held unenforceable, it will be enforced to the maximum extent possible and the rest of these Terms will remain in effect. A failure to enforce a provision is not a waiver. The parties are independent contractors. There are no third-party beneficiaries of these Terms.
